ANNUAL RETURNS FILING All companies incorporated in Singapore are required to hold their Annual General Meeting (AGM) and file their Annual Returns under Section 175, Section 197 and Section 201 of the Companies Act. It is the responsibility of the directors to appoint individuals or the services of a corporate service provider with the required level of expertise to prepare a true and fair view of the company’s accounts to their shareholders. XBRL FINANCIAL STATEMENT, CONVERSION AND FILING Under ACRA’s guidance, companies unlimited and limited by shares that are required to file their financial statements must prepare and file them in eXtensible Business Reporting Language (“XBRL”) format.  Insolvent companies also fall under this requirement. There are however, three categories of establishments that are exempted from doing so:

  • Banks, insurance companies and finance companies whose activities are regulated by the Monetary Authority of Singapore (MAS).
  • Companies that are allowed by law to prepare financial statements in accordance with accounting standards other than the Singapore Financial Reporting Standards or the International Financial Reporting Standards.
  • Private Companies that are solvent which are not required to file their financial statements with ACRA.
